Terms of Service

Last updated: April 18, 2026. These terms are a practical product baseline and may be updated as MetaTana changes.

Please read these Terms of Service carefully before using MetaTana software, hosted services, accounts, billing, or AI Vision features(together, the “Services”). These terms are between you and Watari Labs Pty Ltd (ABN 84 696 983 829), which operates MetaTana. By installing, accessing, or using the Services, you agree to be bound by these terms.

1. Acceptance Of Terms

If you do not agree to these terms, you must not use MetaTana. If you use MetaTana on behalf of an organization, you represent that you have authority to bind that organization to these terms. In these terms, “we”, “us”, and “our” refer to Watari Labs Pty Ltd. “MetaTana” refers to the MetaTana software, hosted services, accounts, billing, and AI Vision features.

2. Closed-Source Commercial License

MetaTana is closed-source commercial software. Subject to these terms, Watari Labs grants you a limited, non-exclusive, non-transferable license to install and use the object-code Software and hosted Services for your own lawful media-library management.

You may not copy, sell, sublicense, redistribute, rent, lease, host, reverse engineer, modify, decompile, disassemble, or create derivative works from MetaTana except where applicable law expressly prohibits that restriction. All rights not expressly granted are reserved by Watari Labs.

3. Accounts, Subscriptions, And AI Credits

Some Services require a MetaTana account, an active subscription, or purchased AI credits. Pro subscriptions include the hosted features described on the pricing page at the time of purchase. AI credits are a metered product feature, not cash, stored value, or a gift card, but this does not limit any refund, cancellation, or other remedy you may have under applicable law.

Payments, subscriptions, refunds, taxes, invoices, and chargebacks may be handled by third-party payment processors. MetaTana may correct pricing, entitlement, or credit-accounting errors where the correction is reasonable and supported by billing or usage records. Future pricing or package changes apply prospectively unless we give reasonable notice and a lawful basis for the change.

Included monthly Pro AI Vision credits reset each billing period and do not roll over. Purchased AI credit-pack credits remain tied to your hosted account while the account exists. Purchased credits can be used only while your account has an active Pro hosted AI entitlement.

AI credits are not transferable and are not redeemable for cash except where required by law. If you cancel Pro, the subscription continues until the end of the paid period unless it is cancelled earlier through a refund or remedy required by law. If you request account deletion, unused credits may be removed after the deletion window, subject to any non-excludable refund, credit correction, or other remedy.

4. Australian Consumer Law

Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. Nothing in these terms excludes, restricts, or modifies those guarantees or any other non-excludable right or remedy.

If a paid Service has a major failure, you may be entitled to cancel the affected service and receive a refund for the unused portion, or receive other remedies available under the Australian Consumer Law. If a failure is not major, we may first try to fix the problem within a reasonable time. If we do not fix it within a reasonable time, you may be entitled to have the problem remedied elsewhere and recover reasonable costs, or to cancel the affected service where the law allows.

For subscriptions and AI credit packs, contact support@watari.dev with the account email, order details, and the issue. We will assess refunds, credit corrections, and service-failure remedies consistently with these terms and the Australian Consumer Law.

If MetaTana materially removes hosted AI Vision or paid credit-pack functionality and no reasonable replacement is available, you may ask for a pro-rata refund, service credit, credit correction, or other remedy required by law.

5. Metadata-Only, Lawful-Library Use

MetaTana is a metadata and local-library management tool. It does not provide, host, stream, sell, index, acquire, or distribute movies, shows, music, subtitles, or other media content.

You must not use MetaTana to:

  • manage, process, or distribute media you do not own, license, or have legal authorization to use
  • infringe copyright, privacy, publicity, trademark, contract, or other third-party rights
  • circumvent digital rights management, copy protection, access controls, or other technological protection measures
  • acquire, share, sell, stream, upload, seed, mirror, or redistribute copyrighted media without authorization
  • use MetaTana or its hosted Services as a scraping proxy, provider resale layer, bulk extraction system, or abusive automation tool

6. Hosted Services And Provider Compliance

Hosted features, including AI Vision and any provider-backed routes, may rely on third-party APIs, models, payment processors, email providers, and infrastructure providers. You agree to comply with applicable third-party terms and rate limits.

MetaTana may limit, disable, cache, queue, or refuse hosted requests when required by law, provider terms, security controls, operational limits, abuse prevention, or documented cost controls. Where practicable, we will give reasonable notice before a material paid hosted feature is removed or materially reduced. Urgent legal, security, provider-compliance, abuse-prevention, or platform-stability changes may happen without advance notice. If a paid feature is materially removed during your paid period and no reasonable replacement is available, you may cancel the affected paid Service and ask for a pro-rata refund or other remedy required by law.

7. AI And Metadata Output

AI Vision and metadata providers can return incomplete, incorrect, or ambiguous results. MetaTana output is a candidate identification and enrichment aid, not a legal determination of ownership, licensing, authenticity, content rights, or compliance. You are responsible for reviewing results before applying changes to your library.

8. Privacy And Data

Use of MetaTana is also governed by the MetaTana Privacy Policy, which is incorporated into these terms by reference. MetaTana is local-first, but hosted account, billing, device-linking, email, and AI Vision featuresrequire limited data processing by MetaTana and its providers.

9. Updates, Availability, And Changes

MetaTana may release updates, change functionality, set reasonable usage limits, retire beta features, or discontinue hosted services for objective legal, provider-compliance, security, operational, product-maintenance, or commercial reasons. We aim to preserve user data and avoid surprise changes. For material changes to paid Services, we will give reasonable notice where practicable and provide a cancellation, refund, or remedy path where required by these terms or applicable law. We do not guarantee uninterrupted availability or permanent availability of any specific model, provider, feature, route, entitlement, or credit package.

10. Intellectual Property And Trademarks

MetaTana, the MetaTana name, product design, code, documentation, hosted Services, marks, and branding are owned by Watari Labs or its licensors. Third-party names, marks, and metadata belong to their respective owners. Your use of MetaTana does not grant ownership of any intellectual property rights.

11. Suspension And Termination

MetaTana may suspend or terminate access to hosted Services if we reasonably believe your account is violating these terms, infringing third-party rights, threatening service security, abusing provider access, evading rate limits, or creating legal or operational risk. We may also terminate repeat infringers where required by law.

Where reasonably practicable, we will give notice and an opportunity to respond before suspending or terminating a paid hosted account. Immediate action may be taken where needed for security, abuse prevention, provider compliance, legal obligations, payment fraud, or service stability. If we terminate a paid Service without cause, or if a suspension materially prevents use of a paid Service and is not caused by your breach, you may request a pro-rata refund or other remedy required by law.

12. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, METATANA IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, OR SECURITY.

YOU ARE RESPONSIBLE FOR YOUR MEDIA LIBRARY, BACKUPS, CREDENTIALS, PROVIDER KEYS, CONFIGURATION, REVIEW DECISIONS, AND COMPLIANCE WITH APPLICABLE LAW.

13. Limitation Of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, METATANA WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, BUSINESS, GOODWILL, MEDIA, OR CONTENT, ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES.

NOTHING IN THESE TERMS EXCLUDES, RESTRICTS, OR MODIFIES ANY CONSUMER GUARANTEE, WARRANTY, RIGHT, OR REMEDY THAT CANNOT LAWFULLY BE EXCLUDED, RESTRICTED, OR MODIFIED, OR ANY LIABILITY THAT CANNOT LAWFULLY BE LIMITED.

14. Indemnification

To the maximum extent permitted by applicable law, you agree to indemnify and hold harmless Watari Labs from third-party claims, damages, losses, liabilities, costs, and expenses to the extent caused by your breach of these terms, unlawful use of MetaTana, infringement of third-party rights, fraud, wilful misconduct, or negligence. This indemnity does not apply to claims caused by Watari Labs' breach, negligence, wilful misconduct, or liability that cannot lawfully be excluded, restricted, or modified.

15. Governing Law

These terms are governed by the laws of New South Wales, Australia, without regard to conflict-of-law rules. The parties submit to the courts of New South Wales and the Commonwealth of Australia, except where applicable consumer law requires otherwise.

If any provision is invalid or unenforceable, the remaining provisions will continue in full force and effect.

16. Changes To These Terms

MetaTana may update these terms from time to time. When changes are made, the “Last updated” date will change. We will give reasonable notice of material changes where practicable. Changes that materially affect paid Services will not reduce your non-excludable rights or remedies, and you may stop using the Services or cancel paid Services if you do not accept the updated terms.
